1. Introduction

Welcome to Same Team Processing, LLC ("Company," "we," "us," or "our"). By utilizing our services, you agree to these Terms and Conditions ("Terms"). Same Team Processing operates as an independent sales agency on behalf of Independent Sales Organizations (ISOs), Merchant Services Providers (MSPs), and Independent Software Vendors (ISVs). Our mission is to provide tailored, cost-effective payment solutions while reinvesting into communities through our "Impact for Impact" model. Please read these Terms carefully, as they govern your use of our services.

2. Definitions

"Merchant": The business entity entering into this agreement to utilize Same Team Processing’s services.

"Processing Fees": Charges associated with the use of our payment processing services provided by partner ISOs, MSPs, or ISVs.

"Services": Includes sales agency services facilitating payment processing, Point of Sale (POS) systems, gift cards, loyalty programs, and ATM placement solutions provided through our partner ISOs, MSPs, and ISVs.

"Community Impact": The portion of processing fees reinvested into community development projects through the Same Team Foundation.

3. Services Provided

Same Team Processing, as a sales agency, facilitates access to the following services through our partner ISOs, MSPs, and ISVs:

Payment Processing: Transparent pricing models, such as interchange-plus and dual pricing, tailored to meet your business needs.

Point of Sale (POS) Systems: State-of-the-art solutions for inventory, sales tracking, and employee management.

Gift Card and Loyalty Programs: Customizable programs to enhance customer retention and engagement.

ATM Placement Services: Secure cash access solutions that increase foot traffic and generate additional revenue.

4. Fees and Payments

4.1 Pricing Models

Interchange-Plus: Processing fees are based on actual interchange costs plus a transparent markup from our partner ISOs or MSPs.

Dual Pricing: Allows merchants to offer distinct cash and card pricing, with the processing fee added to card transactions.

Cash Discount: Allows merchants to offer a discount for cash paying customers, with the processing fee presented in retail price.

Overhead/ Service Fee: A line item fee is added at checkout as a fixed operational cost for the store.

Flat Rate: Consistent percentage fee per transaction, regardless of card type, as determined by the partner ISO or MSP.

Compliant Surcharge: Adds a fee to credit card only transactions and is capped at 3%.

4.2 Billing and Payment Terms

Fees will be billed and collected by the partner ISO or MSP unless otherwise specified.Late payments may incur additional fees, including interest charges, as outlined in the agreement with the partner ISO or MSP.Merchants are responsible for all chargebacks, returns, and associated fees.

5. Compliance and Security

5.1 Regulatory Compliance

Merchants must adhere to all applicable laws, including:

Payment Card Industry Data Security Standards (PCI DSS).

Anti-Money Laundering (AML) policies.

Federal, state, and local consumer protection laws.

5.2 Data Security

Same Team Processing and its partner ISOs, MSPs, and ISVs employ industry-standard encryption and security protocols. Merchants are responsible for safeguarding access credentials and reporting any security breaches immediately.

6. Privacy Policy

Our Privacy Policy governs how we collect, use, and protect personal data. By agreeing to these Terms, you acknowledge that you have read and understood our Privacy Policy, available at Same Team Privacy Policy.

7. Merchant Responsibilities

Merchants agree to:

Provide accurate and complete information during onboarding.

Use services facilitated by Same Team Processing and its partners only for lawful transactions.

Cooperate with compliance reviews and audits as necessary.

Notify us of any changes to business structure or ownership.

8. Liability and Indemnification

8.1 Limitation of Liability

Same Team Processing is not liable for indirect, incidental, or consequential damages arising from the use of services provided by partner ISOs, MSPs, or ISVs.

8.2 Indemnification

Merchants agree to indemnify and hold harmless Same Team Processing against claims, damages, or losses resulting from:

Merchant’s violation of applicable laws.

Improper use of services provided by partner ISOs, MSPs, or ISVs.

9. Force Majeure

Same Team Processing and its partners are not responsible for delays or failures caused by events beyond their control, including natural disasters, government actions, or technical disruptions.

10. Termination

This agreement may be terminated:

Immediately, in cases of non-compliance or breach of these Terms.

Upon dissolution or cessation of the merchant’s business operations.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida.

Disputes will first be resolved through mediation. If unresolved, binding arbitration in Florida will follow.

12. Community Impact

A portion of all processing fees supports community projects through the Same Team Foundation. Contributions are allocated based on merchant volume, creating lasting local impact.
